Terms and Conditions for Users of SayHey
This document outlines the terms and conditions (“Terms”) applicable to your use of the SayHey platform, which includes its mobile application, website (https://SayHey.co.in), and any other product or service offered by Mindorphin Private Limited, formerly known as KMR and Friends Private Limited.
1. Definitions
- Company / We / Us / Our: Refers to SayHey, operated by Mindorphin Private Limited. It includes the mobile application, website, and any associated services or platforms. The company offers emotional support through anonymous listening sessions and community-based support forums.
- User / You / Your: Any individual who visits, registers, or uses SayHey’s services, including accessing listeners, engaging in forums, or using tools and features provided on the platform.
- Empathy Listener: A trained individual who is registered with SayHey to provide empathetic listening services. These individuals are not therapists or medical professionals and offer non-clinical support.
- Platform: Refers to all SayHey digital products including its website, mobile application, backend systems, and communication infrastructure through which services are delivered.
2. Acceptance of Terms
- By accessing or using SayHey, you agree to be bound by these Terms and the accompanying Privacy Policy. Continued use of the platform indicates your full acceptance. If you do not agree, you must discontinue use of the services immediately.

4. Eligibility
- Only individuals aged 13 and above can use SayHey. Users below 18 years must obtain permission and involvement from a parent or guardian to use the services responsibly and lawfully.
5. User Registration
- Users are required to provide complete and accurate information during sign-up. Any false or misleading information may lead to account suspension or legal action.
- You must safeguard your login credentials. If you suspect unauthorized access or data breach, you must inform SayHey immediately to prevent misuse.
- By registering, you consent to receive essential communication such as updates, offers, newsletters, and transactional messages related to the platform.
6. Services Offered
- SayHey allows users to connect anonymously with trained Empathy Listeners to talk about emotional stress, anxiety, or life challenges without judgment.
- Users can participate in community forums to ask questions, share experiences, and receive responses from others who relate to or understand their concerns.
- The platform also provides curated content, self-help tools, and access to a secure digital wallet for payments.
7. Code of Conduct
- Users must engage respectfully and avoid sharing personal data, using hate speech, posting illegal or obscene content, or promoting political or commercial agendas.
- All posts in the forum must be original and respectful. Repeated misuse can lead to post removal or account termination without prior notice.
- Empathy Listeners must be treated with courtesy. Abuse, threats, or inappropriate behavior will result in immediate ban from the platform.
8. Session Pricing & Refund Policy
- Each user is entitled to one free session with an Empathy Listener.
- Subsequent sessions are chargeable and must be paid for using the SayHey Wallet or other payment methods available on the app.
- Refunds are not provided under normal circumstances, including missed or unsatisfactory sessions.
- Refunds will only be issued if a technical failure on SayHey’s end prevents a session from connecting and payment was successfully deducted.
- The amount in the wallet is non-withdrawable and non-refundable but can be used to book future sessions or services within the app.
9. Empathy Listening Services
- SayHey’s empathy listeners are trained to provide non-judgmental support but are not licensed medical or psychological professionals.
- Users must not expect therapy, diagnosis, or crisis intervention through these sessions.
- In case of emergencies or mental health crises (including suicidal ideation), users are advised to contact medical professionals or helplines immediately.
- SayHey assumes no liability for any personal, emotional, or financial outcome resulting from interactions with Empathy Listeners.
10. Platform Usage and Intellectual Property
- All features, content, branding, and technological infrastructure of SayHey are the property of Mindorphin Private Limited.
- Users retain ownership of their content (e.g., posts, comments) but grant SayHey an unrestricted, royalty-free license to use such content for promotional or educational purposes.
- No content may be copied, distributed, or reused without explicit written permission from SayHey.
11. Privacy Policy
- The Privacy Policy explains how SayHey collects, processes, stores, and protects your data. It is mandatory for all users to read and accept the Privacy Policy to use SayHey services.
12. Disclaimer
- SayHey is not a medical service and does not provide clinical treatment or counseling. The support provided is strictly peer-based emotional support.
- We are not responsible for third-party content, links, or advertisements that may appear on the platform. Users access such external services at their own risk.
- While we strive to ensure platform stability, occasional technical issues may occur. SayHey does not guarantee uninterrupted service.
13. Limitation of Liability
- SayHey is not liable for any loss or damage incurred due to platform use, including data loss, failed sessions, or emotional outcomes.
- We are also not responsible for decisions made by users based on conversations or posts shared on the platform.
- Maximum liability in any case shall be limited to the value of the last paid session or subscription amount, if applicable.
14. Indemnification
- You agree to indemnify and defend SayHey and its associates against all claims, damages, or liabilities arising from your breach of these Terms, misuse of the platform, or violation of rights of any third party.
15. Account Termination
- Users can voluntarily delete their account through the platform’s settings or by emailing help@sayhey.co.in. Some data may be retained as per the Privacy Policy.
- SayHey may suspend or terminate an account for misuse, violation of these Terms, or harmful activity. We are not obligated to provide prior notice or justification.
16. Reviews and Feedback
- User reviews, testimonials, and ratings may be used in marketing materials and digital promotions.
- SayHey is not liable for content posted in reviews and feedback by users but reserves the right to moderate such content if necessary.
17. Dispute Resolution
- If any dispute arises between a User and SayHey or its Empathy Listeners, parties agree to first attempt to resolve the issue amicably within 30 days.
- Unresolved matters shall be referred to arbitration in Mumbai, conducted under Indian Arbitration and Conciliation Act, 1996.
- All legal proceedings shall fall under the jurisdiction of Mumbai courts exclusively.
18. Miscellaneous
- SayHey reserves the right to modify these Terms at any time without prior notice. Continued use of the platform indicates your acceptance of such changes.
- If any provision of this agreement is found to be invalid or unenforceable, the remaining sections will remain in full effect.
- All operations and legal matters will be governed by the laws of India.
